Your use of the Service constitutes your electronic signature and consent to this agreement under applicable law, including the Information Technology Act, 2000 and rules thereunder, to the extent applicable.

If you register on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation.

The Service is intended solely for individuals who are at least eighteen (18) years of age. By registering, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into this agreement, and that all registration information you provide is accurate and current.

We do not knowingly permit registration or use by minors. If we learn that a user is under 18, we may suspend or terminate the account and delete associated data without notice.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account, whether authorised by you or not.

You agree to notify us promptly at the contact address below if you suspect unauthorised access. We are not liable for losses arising from your failure to safeguard credentials or from unauthorised use of your account where you have not taken reasonable steps to secure it.

You may not create multiple accounts to evade enforcement, transfer your account without our consent, or use another person's identity or credentials.

Sakhinova provides AI-generated conversational companions, images, voices, and related synthetic content for personal entertainment and companionship. All companions are fictional computer-generated characters. They are not real people, do not have independent existence outside the Service, cannot form legal relationships with you, and must not be mistaken for human beings or professional advisors.

AI outputs are probabilistic and may be inaccurate, incomplete, offensive, emotionally inappropriate, or inconsistent. You must exercise independent judgment and must not rely on any AI output as factual, medical, psychological, legal, financial, safety, or relationship advice.

We do not guarantee emotional outcomes, relationship satisfaction, mental-health benefits, or any particular experience from use of the Service.

You are solely and fully responsible for your conduct, communications, uploads, purchases, and every action you take on or through the Service, including interactions with AI companions and any decisions you make based on AI-generated content.

You acknowledge that misuse of the Service — including unlawful, harmful, deceptive, or abusive behaviour — is your responsibility alone. You agree that you, and not ${LEGAL_PLATFORM_NAME}, bear all legal, civil, criminal, regulatory, and financial consequences arising from your use of the Service or from content you create, request, upload, share, or publish in connection with the Service.

We provide tools and policies to promote lawful use, but we do not assume responsibility for user behaviour. Nothing in these Terms shifts liability for your unlawful or harmful actions to us.

You agree not to use the Service to:

• Violate any applicable law, regulation, court order, or third-party rights, including privacy, publicity, intellectual property, or personality rights.
• Harass, threaten, stalk, defame, abuse, exploit, or endanger any person, or encourage self-harm, violence, or illegal activity.
• Create, request, upload, store, or distribute child sexual abuse material (CSAM), content sexualising minors, or any material involving exploitation of children — zero tolerance; we report to authorities where required.
• Upload or use images, likenesses, voices, or personal data of any person without lawful authority, including non-consensual intimate imagery, deepfakes intended to deceive or harm, or impersonation of real individuals without consent.
• Generate or distribute spam, malware, phishing content, or attempts to probe, scrape, reverse-engineer, or compromise our systems or third-party providers.
• Circumvent access controls, rate limits, payment requirements, moderation systems, or geographic or age restrictions.
• Use the Service for commercial solicitation, automated bulk access, or reselling outputs without our written permission.
• Misrepresent AI-generated content as human-generated in contexts where such misrepresentation is unlawful or likely to cause harm.

You retain ownership of content you submit, including messages, profile information, reference photos, and feedback ("User Content"), subject to the licence below and our Privacy Policy.

By submitting User Content, you grant ${LEGAL_PLATFORM_NAME} a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt, display, and use User Content solely as necessary to operate, secure, improve, and provide the Service — including powering AI responses, memory features, image generation, voice synthesis, moderation, and support.

You represent and warrant that you have all rights necessary to submit User Content and that doing so does not infringe any third-party rights or violate any law. You are solely liable for User Content and for any claims arising from it.

If you upload photographs or other reference material, you confirm that you own the material or have explicit permission from every identifiable person depicted, and that use within the Service is permitted.

You must not upload images of third parties without their informed consent, especially where such images could be used to create intimate, deceptive, or defamatory synthetic content.

We may remove reference material and suspend accounts where we reasonably believe rights have been violated or misuse has occurred.

The Service, including software, branding, companion templates, marketplace listings we provide, and underlying technology, is owned by or licensed to ${LEGAL_PLATFORM_NAME} and protected by applicable intellectual-property laws.

Except for the limited right to use the Service as permitted here, no licence is granted. You may not copy, modify, distribute, sell, lease, or create derivative works from the Service or our proprietary assets without written consent.

AI-generated outputs are provided for your personal use within the Service unless otherwise stated. Ownership and permitted use of AI outputs may be subject to third-party model or provider terms.

Certain features require paid subscriptions, top-ups, or consumable credits. Prices, billing intervals, and included allowances are shown at purchase and may change for future billing periods with notice where required by law.

Payments are processed by third-party payment providers. You authorise us and our payment partners to charge your selected payment method.

Except where mandatory under applicable consumer-protection law, all fees are non-refundable once consumed or once a billing period has begun. Upgrading a plan does not entitle you to a refund for unused time on a prior plan.

We may suspend paid features for failed payments, suspected fraud, or chargebacks.

We may, but are not obligated to, monitor, review, filter, or remove content or suspend accounts to protect users, comply with law, or preserve the Service. Automated and human moderation may be used.

To report abuse, illegal content, or intellectual-property concerns, contact us at the email below with sufficient detail. We may cooperate with law-enforcement and regulatory authorities where required.

Repeated or serious violations may result in immediate termination without refund.

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you violated these Terms, create legal or security risk, or if required by law.

You may delete your account through in-app settings where available, or by contacting support. Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive — including disclaimers, limitation of liability, indemnity, and dispute resolution — survive termination.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ${LEGAL_ENTITY_NAME.toUpperCase()} DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that AI outputs will meet your expectations, that companions will behave consistently, or that the Service will be free from defects, delays, data loss, or security incidents.

No oral or written information from us creates any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ${LEGAL_ENTITY_NAME.toUpperCase()}, ITS OWNERS, OPERATORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION; EMOTIONAL DISTRESS; OR ANY DAMAGES ARISING FROM USER CONTENT, AI OUTPUTS, UNAUTHORISED ACCOUNT ACCESS, OR THIRD-PARTY CONDUCT — EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000 (Indian Rupees five thousand).

Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless ${LEGAL_ENTITY_NAME}, its owners, operators, affiliates, contractors, and service providers from and against any claims, demands, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or any law or third-party right; (d) any dispute between you and a third party connected to your use of the Service; or (e) any allegation that your conduct caused harm to another person.

We may assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate fully. You may not settle any claim affecting us without our prior written consent.

These Terms are governed by the laws of the Republic of India, without regard to conflict-of-law principles.

Before initiating formal proceedings, you agree to contact us at ${LEGAL_CONTACT_EMAIL} and attempt in good faith to resolve the dispute informally within thirty (30) days.

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed mutually or, failing agreement, in accordance with the Act. The seat and venue of arbitration shall be India. Proceedings may be conducted in English.

Notwithstanding the above, either party may seek interim or injunctive relief from a court of competent jurisdiction in India to protect intellectual property, confidentiality, or to prevent irreparable harm.

You waive any right to participate in a class, collective, or representative action against us to the extent permitted by law.

We may update these Terms from time to time. The "Effective date" at the top reflects the latest version. Material changes will be posted on https://sakhinova.com/terms. Where required by law, we will provide additional notice.

Continued use after the effective date of revised Terms constitutes acceptance. If you do not agree, you must stop using the Service and may delete your account. For material changes, we may require renewed acceptance before continued access.

Entire agreement. These Terms, together with the Privacy Policy and any feature-specific terms we present at point of use, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

No waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including network outages, provider failures, natural disasters, or government action.
